Your role
Delivery of comprehensive legal, data privacy and eventually compliance support to Merck Healthcare UK, Ireland and the Nordics, as well as ad-hoc legal support to other companies of the Merck Group in the same region to include promoting a department that is recognised as a business partner and enabler, providing excellent commercial legal support to ensure the organisation remains competitive whilst being compliant and managing risk:

 

  • Identify, draft, negotiate and prepare necessary contracts (including extensions, amendments and terminations) and other documentation for business transactions, and provide advice to the business on potential legal and compliance risks in relation to the proposed business transaction.
  • To liaise with the global Group Data Protection Office in Darmstadt to ensure global data protection policies and procedures are adequately rolled out in the UK, ROI and the Nordics, including raising employees' awareness of data protection, supervising and monitoring matters related to personal data protection, and implementing measures to ensure compliance with applicable laws, regulations, internal policies, procedures and relevant teams.
  • Together with the other members of the department develop and provide training to the business on relevant areas of the law and compliance (e.g. competition law, code of conduct, conflict of interest, anticorruption, data protection, contractual relationships).
  • Coordinating with the other lawyers of the department to support the business and the other departments of the Company including but not limited to: contract negotiations; legal discussion with the pharma agencies, ministries of Health and others; the legal aspects of public bidding procedures and any dispute which may arise with the interpretation of the tender notice and the annexed technical documents as well as the supply contract; reviewing promotional materials; advice medical dept. and support the relevant contracts – including clinical studies agreements).
  • Handle claims and litigation (liaising with external Counsel as necessary) and any investigations by external authorities.
  • Support all the compliance activities implementing the global programs and compliance framework (e.g. monitoring activities; due diligence etc.).
  • Represent UK, Ireland and/or the Nordics on any Global, EU and or regional projects as requested from time to time.
  • Develop and provide training to the business on relevant areas of the law to be considered when transacting business and activities with third parties (e.g competition law, the Bribery Act, data protection, entering into contracts).
  • Advise the business on all levels of legal compliance issues and legal risk

Who you are

  • 5+ years post qualification experience in providing general legal advice in private practice or in an in-house setting
  • Knowledge of UK and EU law with previous experience of working in the following legal. environments: commercial contracts, intellectual property, competition law and employment law.
  • Thorough understanding of data protection.
  • Knowledge of Pharmaceutical Industry and associated legislation, regulations and guidelines.
